These Terms of Service (“Terms”) govern access to, and use of the website and services provided under the name Vyderia, (“Vyderia,” “we,” “us,” or “our”).
By accessing our website, submitting inquiries, or purchasing services, you (“Client,” “User,” or “you”) agree to be bound by these Terms.
1. About Vyderia
Vyderia provides AI systems, AI consulting, automation workflows, integrations, digital infrastructure configuration, and related technology services to businesses internationally.
2. Website Use
You agree to use this website only for lawful purposes.
You may not:
- Copy, reproduce, or distribute website content without permission
- Attempt to interfere with website functionality
- Use the website for unlawful, fraudulent, or abusive purposes
All website content, branding, and materials are the property of Vyderia unless otherwise stated.
3. Description of Services
Vyderia provides custom AI systems, automation workflows, integrations, and related digital solutions.
Services include but are not limited to:
- AI consultation
- AI chatbot systems
- Workflow automation
- Calendar and CRM integrations
- Backend configuration
- Ongoing support under retainer
Each project’s scope is defined through written communication, proposal, invoice, or agreement.
Email confirmation constitutes written agreement.
Services are customized and may evolve over time.
4. Project Scope & Written Agreements
All services are governed by the specific scope agreed upon in writing (including email).
Any work requested outside the agreed scope may require additional fees.
Vyderia is not obligated to perform services beyond the confirmed scope without mutual written agreement.
5. Client Responsibilities
The Client agrees that they are responsible for:
- Providing accurate and complete information
- Maintaining their own hosting environment (including VPS, n8n, servers, etc.)
- Maintaining and securing third-party accounts (Google, CRM, API providers, etc.)
- Ensuring compliance with all applicable laws in their jurisdiction
- Monitoring AI system outputs and usage unless otherwise stated
The Client acknowledges that results depend on numerous external factors beyond Vyderia’s control.
6. Access to Third-Party Accounts
Where necessary, the Client may voluntarily grant Vyderia temporary access to third-party platforms for configuration purposes.
Such access:
- Is provided at the Client’s discretion
- May be revoked at any time
- Is used solely to perform agreed services
Vyderia is not responsible for third-party platform outages, policy changes, API changes, or service interruptions.
7. Payment Terms & Refund Policy
Payment terms are defined in the applicable invoice or agreement.
Payment must be received before services begin unless otherwise agreed.
Vyderia reserves the right to suspend or withhold services for non-payment.
Refund Policy
- Clients are eligible for a 100% refund within 24 hours of onboarding completion.
- Once development, configuration, or system setup begins, payments become non-refundable.
- If Vyderia is unable to fulfill the agreed operational system due to its own error or failure, a full refund will be issued.
“Work begins” upon initiation of configuration, development, system setup or direct confirmation.
8. No Performance Guarantees
Vyderia does not guarantee business results such as but not limited to:
- Revenue increases
- Lead generation results
- Conversion rates
- Business growth
- Financial performance
Client acknowledges that results depend on marketing efforts, business operations, external systems, and other factors beyond Vyderia’s control.
9. AI System Disclaimer
Client acknowledges that AI systems:
- May generate inaccurate, incomplete, or unexpected outputs
- Operate through probabilistic models
- Require monitoring and oversight
AI systems provided by Vyderia do not constitute legal, medical, financial, or professional advice.
Client is responsible for monitoring system outputs and ensuring appropriate use.
10. Intellectual Property
Upon full payment:
- The Client owns the final configured deliverables specific to their project.
However, Vyderia retains ownership of but not limited to:
- Core frameworks
- Core Codes
- Templates
- Internal systems
- Underlying methodologies
- Pre-existing materials
Nothing in these Terms transfers ownership of Vyderia’s proprietary systems.
11. Data & Privacy

Clients retain ownership of all data collected through their systems.
By using or engaging with any of our services you agree to our Data & Privacy policy
Clients may at any time request:
- the deletion of data stored by Vyderia
- Inquire about the data collected
Vyderia:
- Processes data solely to provide agreed services
- May store data solely to provide and support agreed services
- Does not sell Client data
- Does not claim ownership over Client data
Client is responsible for ensuring lawful data collection and compliance with applicable data protection laws (including but not limited to GDPR, PIPEDA, and other regional regulations).
12. Limitation of Liability
To the fullest extent permitted by law:
- Vyderia shall not be liable for indirect, incidental, consequential, special, or punitive damages.
- Vyderia shall not be liable for lost profits, lost revenue, business interruption, or reputational harm.
Vyderia’s total liability under any claim shall not exceed the total fees paid by the Client under the applicable service agreement.
13. Termination
Either party may terminate services with written notice.
Upon termination:
- Ongoing support ceases
- No refunds are provided for unused service periods
- Client retains delivered materials
Vyderia is not responsible for maintaining systems after termination unless otherwise agreed.
14. Force Majeure
Vyderia shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:
- Server outages
- Third-party service interruptions
- Government actions
- Natural disasters
- Internet disruptions
- API or platform changes
15. Modifications to Terms
Vyderia reserves the right to update or modify these Terms at any time.
Continued use of the website or services after updates constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by the laws of Ontario, Canada, unless otherwise required by applicable law.
